In a significant move, private equity firm AGENA3000 has acquired DocProcess, a SaaS platform that digitises and streamlines critical business functions, from Morphosis Capital and Nordic Capital. The specific terms of the deal have not been disclosed.

DocProcess, founded in 2005, offers solutions for procure-to-pay, order-to-cash, e-invoicing, and transport. The company was previously owned by Morphosis Capital Fund I, but has now been sold to AGENA3000. This is not the first acquisition by AGENA3000, but it is the first mention of them in this article.

Daniela and Liviu Apolozan, the founders of DocProcess, have also exited the company as part of the deal. The article does not provide information about any other parties involved in the deal.

The acquisition comes as Nordic Capital XII, which supports private equity-backed businesses and family or entrepreneur-owned companies, has raised €5bn for its twelfth flagship buyout fund. The fund offers flexible financing solutions to mid-market companies in Europe and North America. The first close for Nordic Capital XII is expected in early October, and the fund is aiming for a final close in 2026.

Nordic Capital XII has already reached half of its €10bn target. This is significant as the fund, which provides instruments including unitranche, second lien, mezzanine, PIK facilities, and preferred equity, has surpassed expectations with its success so far.

Meanwhile, Five Arrows Debt Partners IV (FADP IV) has also been closed at €2.4bn, surpassing its €2bn target. This marks a more than 70% increase on its €1.4bn predecessor fund.

It is worth noting that UiPath acquired DocProcess from Morphosis Capital in a previous deal. However, the details of that transaction are not discussed in this article.

The acquisition of DocProcess by AGENA3000 is a testament to the growing interest in SaaS platforms that offer solutions for critical business functions. As more companies seek to digitise and streamline their operations, acquisitions like this one are likely to become more common.
