MFE, the new proprietor of ProSevenSat.1, secures additional positions on the company's Supervisory Board.

ProSiebenSat.1 Media SE, the leading media conglomerate headquartered in Munich-Unterföhring, is set to undergo changes in its supervisory board following the sale of a significant portion of its shares to Media for Europe (MFE).

MFE, led by CEO Pier Silvio Berlusconi, has now taken a majority stake in ProSiebenSat.1, with 75.61% of the share capital. As a result, MFE will hold full control over the decision-making processes of the media giant.

The resignation of Klára Brachtlová and Christoph Mainusch from their positions on the supervisory board was announced due to the sale of PPF's ProSiebenSat.1 shares to MFE. Both Brachtlová and Mainusch have been instrumental in driving the digital transformation of ProSiebenSat.1.

Brachtlová, who represented PPF on the supervisory board, and Mainusch, an independent member since 2024, will step down effective immediately following the sale. Their departure leaves two vacant seats on the supervisory board.

In response to this change, Maria Kyriacou, chairwoman of the ProSiebenSat.1 Media SE supervisory board, thanked Brachtlová and Mainusch for their significant commitment to ProSiebenSat.1. She also announced that ProSiebenSat.1 plans to appoint two new members to the supervisory board through a court decision.

The identities and roles of the new board members have not been disclosed at this time. The court decision for their appointment is yet to be made.

It is worth noting that the digital transformation of ProSiebenSat.1, driven by Brachtlová and Mainusch, is set to continue under MFE's ownership.

The sale of PPF's ProSiebenSat.1 shares to MFE has now been finalized, with MFE now holding 100% of the share capital. The new chairman of the supervisory board of ProSiebenSat.1 has not yet been appointed.

Maria Kyriacou, as the current supervisory board chairperson, is yet to comment on the new chairman. However, it is expected that this change will be reflected in the supervisory board of ProSiebenSat.1.

The resignation of Klára Brachtlová leaves one vacant seat on the ProSiebenSat.1 supervisory board. The company plans to promptly request the judicial appointment of two new supervisory board members to reflect the new shareholder structure.

As ProSiebenSat.1 continues to navigate this transition, the public awaits the announcement of the new board members and the new chairman. The digital transformation of the media conglomerate, under the guidance of its new owners, is poised to shape the future of the industry.
