Bharat Forge reorganizes its defense sector through KSL, increasing the acquisition price of AAM India to 770 crore rupees.

Bharat Forge, a leading Indian engineering and auto component manufacturer, has announced a significant restructuring of its defense business. The company will transfer select defense-related assets and obligations to its wholly owned subsidiary, Kalyani Strategic Systems Ltd (KSSL), in a move aimed at sharpening operational focus and enhancing strategic clarity in the defense sector.

The transfer, valued at up to ₹500 crore, will be completed through an itemised sale at fair value based on an independent valuation. As consideration, KSSL will issue Optionally Convertible Redeemable Preference Shares (OCRPs) worth up to ₹500 crore to Bharat Forge. Post the asset transfer, Bharat Forge will continue to hold 100% ownership of KSSL.

KSSL, a defense product development and deployment company, reported a turnover of ₹1,247 crore and a net worth of ₹232 crore in FY25. The restructuring is expected to be completed within 45 days and will not impact Bharat Forge's consolidated financial statements.

This internal realignment is designed to allow KSSL's dedicated and focused management on cutting-edge technology and the high-growth potential defense business, thereby unlocking value. Bharat Forge expects enhanced strategic clarity and streamlined defense operations following the restructuring. The transaction does not involve any change in ownership structure for the parent company, ensuring continuity in control while improving operational focus.

However, the acquisition of AAM India by KSSL is not yet finalized, as it is still subject to regulatory approvals and other customary closing conditions. The revised acquisition cost for AAM India is an increase of approximately Rs 225.5 crore.
